1. Acceptance of Terms

These Terms & Conditions (“Terms”) form a binding agreement between you and ConfiaTech (“we,” “us”). By accessing confiatech.com or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or our services.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or the entity you represent.

3. Our Services

ConfiaTech provides software development, AI, design, and related professional services. The website presents informational content about these services. Specific engagements are governed by separate statements of work (“SOWs”) or master services agreements (“MSAs”).

4. Engagements and Quotes

Quotes, proposals, and estimates communicated through the website or by email are non-binding until a written SOW or MSA is signed by both parties. Pricing, scope, timelines, and deliverables are defined in those documents and supersede any conflicting information on the website.

5. Acceptable Use

You agree not to:

• Use the site to violate any law, regulation, or third-party right.
• Probe, scan, or test for vulnerabilities without prior written authorization.
• Interfere with the site’s normal operation (e.g. denial-of-service, automated scraping at scale).
• Upload malicious code or attempt to gain unauthorized access to our systems.
• Misrepresent your identity or affiliation in any communication with us.

6. Accounts

Some features may require an account. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any suspected unauthorized use.

7. Intellectual Property

The website’s content, design, source code, trademarks, and other intellectual property are owned by ConfiaTech or its licensors and are protected by applicable laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works without our prior written consent.

Intellectual property ownership for deliverables produced in a client engagement is defined in the applicable SOW or MSA.

8. Confidentiality

Information shared during pre-sales discussions is treated as confidential and used only to evaluate the engagement. For active engagements, confidentiality obligations are defined in the executed SOW or MSA.

9. Fees and Payment

Fees, payment terms, currency, late-payment interest, and applicable taxes are set out in each SOW. All fees are exclusive of applicable taxes unless stated otherwise.

10. Warranties and Disclaimers

The website is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. Engagement-level warranties are set out in the applicable SOW or MSA.

11. Limitation of Liability

To the maximum extent permitted by law, ConfiaTech, its affiliates, and their officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the website. Engagement-specific liability caps are defined in the applicable SOW.

12. Indemnification

You agree to indemnify and hold ConfiaTech harmless from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the website.

13. Termination

We may suspend or terminate your access to the website at any time, with or without notice, for conduct that violates these Terms or that we believe is harmful to other users, to us, or to third parties. Provisions intended to survive termination shall do so (including ownership, confidentiality, disclaimers, and limitations of liability).

14. Governing Law

These Terms are governed by the laws of the United Mexican States, without regard to its conflict of laws principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Tlalnepantla de Baz, Estado de México, unless otherwise required by applicable consumer protection law.

15. Changes to These Terms

We may update these Terms from time to time. The revised version takes effect when posted with an updated “Last updated” date. Continued use of the website after changes constitutes acceptance of the revised Terms.
